General Corporate Our general corporate practice serves a clientele ranging from start-up businesses through mature private and publicly held companies. We counsel clients on a wide range of matters from entity choice and organizational planning through the full range of business legal issues, including governance practices, equity holder agreements, employee agreements, equity incentives, financings and business agreements of every kind. For family-owned businesses, we provide assistance in creating structures and strategies that facilitate succession and tax planning and other concerns unique to these firms.
Corporate Finance The Firm’s practitioners have broad experience representing providers of equity and debt financing as well as businesses seeking financing – including startup companies looking for seed capital and emerging companies looking continually for working capital to support growth, as well as seasoned companies with new capital needs or a desire to rebalance their debt/equity profiles. Our understanding of the perspectives and concerns of the parties to multiple sides of a transaction enables us to both effectively negotiate the terms and conditions of the financial elements of agreements and creatively address issues such as constraints on management, founders’ equity dilution, exit strategies for the providers of capital and other important “non-financial” elements of financial transactions.
Mergers and Acquisitions
We also have long been active in representing parties to traditional mergers and acquisitions and other forms of sales of the equity or operating assets of a business. In addition, we draw upon our corporate, tax, estate planning and financing expertise to assist in less conventional transactions. Examples include divestitures of lines of business through partial asset sales or spin-offs, partial equity buy-outs, leveraged buy-outs, ESOP transactions, roll-up transactions and restructurings.
Our multi-discipline team approach assures that all of the legal and tax elements of these transactions are properly addressed.
Securities Law
The firm offers clients who are planning to “go public” or are already publicly traded with a full range of services covering compliance with federal and state securities registration and disclosure laws, exchange or NASDAQ listing, SEC and stockholder reporting, proxy statement preparation and conduct of stockholder meetings, corporate governance, including Sarbanes-Oxley compliance issues, and other issues unique to public companies. In addition, we have also organized a number of hedge funds and other investment businesses.
